01The agreement
These Terms of Service (the Terms) are a binding agreement between you and Gigi (Gigi, we, us). They govern your access to and use of the Gigi website, applications, and services (together, the Service).
By accessing or using the Service, joining the waitlist, or creating an account, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
You must be at least 18 years old to use the Service. If you use the Service on behalf of a company or other entity, you represent that you have authority to bind that entity, and both you and the entity accept these Terms.
02The Service
Gigi is a relationship intelligence platform that lets you:
- turn your contacts, calendar history, and confirmed profile context into a structured, searchable network,
- search that network and the networks that people you trust have chosen to share with you,
- request and facilitate warm introductions,
- draft and send messages through accounts you connect, always with your explicit review and approval.
Gigi provides tools and suggestions. It does not make decisions for you, and it does not act without you.
Early access. The Service is currently in a limited beta. Joining the waitlist does not create an obligation for us to grant access, and beta features may change, break, or be withdrawn at any time. Feedback given during the beta is subject to the Feedback terms below.
03What Gigi is not
For clarity, Gigi is not:
- a recruitment or staffing service,
- a background-check or vetting service, and its outputs must not be used to make employment, credit, insurance, housing, or similar eligibility decisions about a person,
- a data brokerage platform,
- a reputation or scoring authority,
- a communications provider. Messages you send through connected accounts are sent by you, from your own account.
04Your account
You agree to provide accurate information when creating an account and to keep it up to date. You are responsible for all activity that occurs under your account and for keeping your credentials and connected sessions secure. Notify us promptly at the contact address below if you suspect unauthorized access.
We may decline, reclaim, or require a change of account identifiers where we reasonably believe they infringe the rights of others or mislead other users.
05Connected services
Core features of Gigi work with accounts you choose to connect, such as a Google account for contacts, calendar, and Gmail. For every connected service:
- you decide whether to connect it, and which permissions to grant,
- we access only the data needed to provide the features you use,
- you can revoke access at any time, from Gigi or from the connected provider's own security settings.
Our use of information received from Google APIs adheres to the Google API Services User Data Policy, including its Limited Use requirements. See the Privacy Policy for the full statement of how connected-account data is handled.
Your use of a connected service remains governed by that provider and its own terms. We are not responsible for connected services, and disconnecting them may disable parts of Gigi.
06Acceptable use
You agree not to use the Service to:
- violate any applicable law or regulation, or the rights of any person,
- send spam, unsolicited bulk messages, or messages that violate anti-spam or marketing laws applicable to you,
- harass, defame, deceive, or impersonate anyone,
- upload content you do not have the right to share, including contact data collected unlawfully,
- make or support decisions with legal or similarly significant effects on a person (for example employment, credit, insurance, or housing decisions),
- probe, scan, or test the vulnerability of the Service, or interfere with its operation,
- scrape, harvest, or bulk-export data about other users or their networks except through features we provide,
- reverse engineer, decompile, or attempt to extract the source code of the Service except where such restriction is prohibited by law,
- resell, sublicense, or provide the Service to third parties as a service bureau,
- circumvent usage limits, access controls, or safety measures.
We may investigate violations and take any action we reasonably deem appropriate, including removing content, suspending accounts, and reporting to authorities.
07Communications you send
Gigi can help you draft, review, and send messages through services you connect, such as Gmail. Every such message:
- is initiated by you,
- is reviewed and approved by you before sending,
- is sent from your own account, in your name.
You are the sender of these messages for all purposes, including anti-spam and marketing laws, and you are solely responsible for their content, their recipients, and their timing. Gigi does not send messages autonomously and does not decide whom to contact.
08AI-assisted features
Some features use artificial intelligence to summarize, search, match, and draft. AI outputs can be incomplete, outdated, or wrong.
- AI outputs are assistive suggestions, not facts or advice,
- review AI-drafted content before sending or relying on it,
- the Service does not make automated decisions that produce legal or similarly significant effects on you or on the people in your network.
You remain responsible for anything you do with AI-assisted output, including anything you send.
09Your content
You retain ownership of the content you submit to the Service, including notes, asks, drafts, and the network data you bring (Your Content).
You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display Your Content solely as needed to operate, secure, and improve the Service and as otherwise described in the Privacy Policy. This license ends when Your Content is deleted from the Service, except for lawful residual copies in backups that are purged on schedule.
You represent that:
- you have the rights needed to submit Your Content,
- Your Content, and our processing of it as described, does not violate any law or the rights of any person,
- contact information you upload was collected in compliance with applicable law.
Feedback. If you send us ideas or suggestions about the Service, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or compensation.
10Our intellectual property
The Service, including its software, design, text, and branding, is owned by Gigi or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. No other rights are granted.
11Third-party services
The Service links to and interoperates with third-party services. Those services are governed by their own terms and privacy policies. We do not control them and are not responsible for their content, availability, or practices.
12Pricing and changes
The Service is currently provided free of charge. We may introduce paid plans or change pricing in the future, with reasonable advance notice. We may also modify, add, or remove features at any time, including features of the beta.
13Suspension and termination
You may stop using the Service at any time and may request account deletion as described in the Privacy Policy.
We may suspend or terminate your access if:
- you materially violate these Terms,
- your use creates risk, legal exposure, or harm to Gigi, to other users, or to third parties,
- we are required to do so by law,
- we discontinue the Service, in which case we will give reasonable notice where practicable.
Sections that by their nature should survive termination survive, including Your Content licenses already granted, Disclaimers, Limitation of liability, Indemnification, Governing law, and General terms.
14Disclaimers
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
In particular, we do not warrant that:
- the Service will be uninterrupted, error-free, or secure,
- enriched or third-party data will be accurate, complete, or current,
- any introduction, connection, or outcome will materialize.
Some jurisdictions do not allow certain disclaimers, so parts of this section may not apply to you.
15Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GIGI AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF ONE HUNDRED US DOLLARS (USD 100) OR THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
These limits do not apply to liability that cannot be limited by law, including, where applicable, liability for willful misconduct or gross negligence.
16Indemnification
You will defend, indemnify, and hold harmless Gigi and its officers, employees, and agents from and against any claims, damages, and expenses (including reasonable legal fees) arising out of or related to: (a) Your Content, (b) messages you send through the Service, (c) your use of the Service in violation of these Terms or of applicable law, or (d) your violation of the rights of any third party.
17Governing law and disputes
These Terms are governed by the laws of the State of Delaware, United States, excluding its conflict-of-laws rules. If you are a consumer in a jurisdiction whose laws grant you mandatory protections, those protections are not affected.
Before filing a claim, you agree to contact us at the address below and to try in good faith to resolve the dispute informally for at least 30 days. Any dispute that is not resolved informally will be brought exclusively in the state or federal courts located in San Francisco County, California, and both parties consent to their jurisdiction, except that either party may seek injunctive relief in any competent court and mandatory consumer venues remain available where the law requires.
18Changes to these Terms
We may update these Terms from time to time. If a change is material, we will give notice before it takes effect, for example by email or by a notice in the Service. The updated Terms apply from their effective date, and your continued use of the Service after that date constitutes acceptance. If you do not agree to a change, stop using the Service before the change takes effect.
19General terms
- These Terms and the Privacy Policy are the entire agreement between you and Gigi about the Service.
- If any provision is found unenforceable, it will be modified to the minimum extent necessary, and the rest remains in effect.
- Our failure to enforce a provision is not a waiver of it.
- You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets, with notice to you.
- These Terms do not create any third-party beneficiary rights, agency, partnership, or joint venture.
- Notices to you may be given by email to the address on your account or by posting in the Service.
